The biggest merger in the corporate history of India is Live today, i.e., July 1st, 2023. Last year as on April 4th, 2022, HDFC Ltd and HDFC Bank announce their Mega Merger making it the 4th largest Bank of the world after JP Morgan, ICBC & Bank of America. 

# Details of Merger 

  • After the merger, HDFC Bank will be 100 percent owned by public shareholders. 
  • Existing shareholders of HDFC Limited will own 41% of HDFC Bank For every 25 shares of HDFC Ltd that shareholders own, they would receive 42 shares of HDFC Bank Ltd. 
  • The merged entity would have a combined assets base ₹ 18 Lakh crores, while the estimated net worth after merger is around $ 168 billion. 

# Impact on Existing Shareholders 

  • As per the Merger details, for every 25 shares of HDFC Ltd, the shareholders will get 42 shares of HDFC Bank.  
  • If shareholders are having HDFC Ltd shares less than 25, the amount for the same will be credited back to them at last trading price. 
  • For example, if you hold 80 HDFC Ltd shares, you will receive 126 HDFC Bank shares against 75 HDFC Ltd shares. The value of remaining 5 HDFC Ltd shares will be credited to your account.   
  • As per the Ex-Chairman Deepak Parekh said the securities will stop trading July 13. 
  • The window for trading in the securities of the Corporation would be closed with effect from Saturday, July 1, 2023, for all the employees, designated employees and directors of the Corporation including their immediate relatives, in terms of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
